Terms and Conditions

1. Introduction

1.1 These Terms and Conditions (hereinafter referred to as “Terms”) govern the legal relationship between Independent Life, s.r.o., a company registered under the laws of the Czech Republic with its registered office at Velebného 1963, Újezd nad Lesy, 190 16 Prague, Czech Republic, Company ID: 05360773, registered with the Municipal Court in Prague, file no. C 262448/MSPH (hereinafter referred to as “Provider”), and any individual or legal entity (hereinafter referred to as “Client”) when providing digital products and supplementary services through the Provider’s website paraguaysimply.com (hereinafter referred to as “Website”).

1.2 By placing an order, the Client confirms that they have read and agree to these Terms. These Terms form an integral part of the contract between the Provider and the Client.

2. Description of Services and Products

2.1 The Provider offers the following products and services aimed at facilitating temporary or permanent residency in Paraguay:

  • Digital Guide: Access to an online course in the Notion application, containing detailed instructions for preparing documents in the Czech Republic or Slovak Republic, a list of authorities, and recommendations for translators. Access is provided exclusively for the Client’s personal use during the process of obtaining permanent residency. Upon obtaining residency, access is terminated.
  • Digital Guide with Online Support: In addition to access to the guide, this includes unlimited consultation via email (info@paraguaysimply.com), WhatsApp, Signal, or Telegram, including verification of translated and apostilled documents. Support is provided during the process of obtaining temporary or permanent residency.
  • Assistance Packages (Standard, VIP, Express, Complete): These include:
    • Personal assistance in Asunción through an English-speaking specialist, including accompaniment to authorities, communication assistance, and potential translation of documents into Czech/Slovak via a mobile application.
    • Facilitation of official procedures through a power of attorney via the Provider’s contractual partner in Paraguay.
    • Administrative fees (copies, notary and official fees, expedited processing as per the package).
    • Online assistance in Czech throughout the cooperation.
    • Assistance with potential additional trips to Paraguay (e.g., for obtaining RUC, bank account, driver’s license, company formation) as per the specific package or for an additional fee according to the current price list.

2.2 A detailed description of the services, including prices, is provided on the Website in the Services section. The Provider reserves the right to update the content of services and document requirements in accordance with changes in Paraguayan regulations or other relevant changes. The Client will be informed of any changes in a timely manner.

3. Order and Payment

3.1 The order is placed via the form on the Website. Upon confirmation of the order by the Provider, the Client will receive payment details. The contract is concluded upon receipt of payment in the Provider’s account.

3.2 The Client shall pay the full amount for the selected product or service in advance. Payment is due within 14 days of the invoice issuance. Failure to pay may result in the Provider withdrawing from the contract.

3.3 The price is stated in US dollars (USD) as per the Website or individual offer. The invoice is issued upon request in USD.

3.4 Payment can be made:

  • By bank transfer to the Provider’s account (details provided after order confirmation).
  • Via cryptocurrencies (BTC, USDT, USDC) based on the exchange rate at Binance.com at the time of payment. Payment must be received within 15 minutes of receiving the details; otherwise, the rate must be updated. Network fees are borne by the Client, who also bears the risk of exchange rate fluctuations. 3.5 Upon receipt of payment, the Client will receive access details to the digital product or confirmation of the commencement of the assistance service.

3.6 Refunds are only possible in the event of a proven error by the Provider, such as:

  • Administrative error in document processing.
  • Incorrect instructions leading to application rejection.
  • Failure to provide agreed assistance.

4. License Terms and Intellectual Property

4.1 The Digital Guide and other materials provided to the Client are the intellectual property of the Provider and protected by copyright. The Client is granted a non-exclusive, non-transferable license for personal use during the residency application process.

4.2 Any copying, distribution, or commercial use of the materials is prohibited. Violation is subject to a contractual penalty of USD 4,000.

4.3 Upon obtaining residency or violating these Terms, the Provider may terminate access to the materials without compensation.

5. Course of Cooperation

5.1 Upon payment, the Client receives the guide for document preparation, including a list of authorities and recommended translators.

5.2 The Client must submit correctly completed and apostilled documents at least 30 days before the planned departure to Asunción, unless otherwise agreed. The Provider will verify the documents within 5 working days and inform the Client of any deficiencies.

5.3 After document approval, the Client arranges flights and accommodation only after written confirmation from the Provider. The Client agrees not to make reservations before this confirmation.

5.4 The Client must check Paraguayan holidays at https://www.mre.gov.py and plan the stay outside of them, with a minimum duration from Wednesday to Sunday, to avoid delays.

5.5 In Asunción, the Client will sign a power of attorney for the Provider’s contractual partner and attend authority visits with an English-speaking specialist. The Client must be available for all scheduled appointments; tardiness may cause delays.

5.6 After successful submission of documents, the Client may depart and return within 365 days for the mandatory temporary resident visit.

5.7 During the second trip to Paraguay, the Client will receive the residency confirmation and Paraguayan ID card (cédula) in person from the English-speaking specialist. The appointment must be scheduled with the Provider at least 30 days in advance. In justified cases, the Provider may adjust the date. At the Client’s request, documents may be sent via DHL to their address at the carrier’s rates, with the Client bearing the risk of loss or damage and must agree to this in advance.

5.8 Assistance for the second trip (e.g., RUC, driver’s license) is offered by the Provider for an additional fee, or the Client may undertake the trip independently.

6. Withdrawal from the Contract

6.1 If the contract is concluded remotely (e.g., via email or the Website), the Client has the right to withdraw from the contract within 14 days of conclusion without stating a reason, in accordance with Czech law. Notice of withdrawal must be sent to info@paraguaysimply.com.

6.2 For digital products (e.g., Digital Guide), the right of withdrawal does not apply if the content has been delivered electronically and the Client expressly consented to this upon ordering, as per Czech law.

6.3 If the Client expressly consents to the commencement of supplementary services (e.g., online support, personal assistance) during the 14-day period and is informed that this consent forfeits the right of withdrawal upon full provision of the service, the right of withdrawal expires upon completion of the service. If withdrawal occurs after the service has begun, the Client shall pay a pro-rata amount for the services provided.

6.4 Packages such as “Digital Guide with Online Support” and assistance packages (Standard, VIP, Express, Complete) are non-refundable after the service has commenced (e.g., upon provision of consultation or assistance in Asunción), provided the Client agreed to this condition upon ordering.

6.5 If withdrawal occurs before the service begins, the Client will be refunded the full amount within 14 days of receipt of the withdrawal notice.

7. Complaints Procedure

7.1 Complaints regarding the digital product or supplementary service can be submitted in writing to info@paraguaysimply.com within 30 days of delivery or commencement of the service.

7.2 The Provider will handle the complaint within 30 days of receipt and inform the Client of the outcome. If the complaint is justified, the Provider will provide a remedy (e.g., access correction, additional consultation) or refund a pro-rata portion of the price.

7.3 Complaints do not apply to delays caused by third parties (e.g., Paraguayan authorities), incorrect use of the product, or faulty documents provided by the Client.

8. Liability and Limitations

8.1 The Provider is not liable for:

  • Decisions by Paraguayan authorities to reject the residency application.
  • Damages caused by incorrect use of products or erroneous data from the Client.
  • Delays or failures in the residency process caused by authorities, legislative changes, holidays, or incorrect date selection by the Client.
  • Force majeure events (e.g., natural disasters, lockdowns, third-party technical failures, closure of authorities).

8.2 Information in digital products is for informational purposes only and does not substitute professional legal or other advice. The Provider does not guarantee the success of the residency application.

8.3 Personal assistance in Asunción is provided by the Provider’s contractual partner. The Provider is not liable for damages caused by the Client’s fault or the authorities.

8.4 The processing time for official procedures in Asunción is indicative (typically 3 days, in 90% of cases 5–7 days). The Client acknowledges that delays may occur for reasons beyond the Provider’s control.

8.5 In the event of a proven error by the Provider (e.g., administrative error, failure to provide assistance), the situation will be rectified at the Provider’s expense or a refund will be provided. The Provider’s liability is limited to the amount paid, and indirect damages are excluded to the extent permitted by law.

9. Termination of Cooperation

9.1 Cooperation ends upon delivery of the temporary or permanent residency confirmation and the Paraguayan ID card (cédula) to the Client, either in person during the second trip to Paraguay or by DHL to the Client’s address at the carrier’s rates, unless otherwise agreed.

9.2 The Provider may terminate cooperation if the Client breaches the Terms (e.g., failure to submit documents within 30 days) with a 14-day notice period. In such cases, the Client is not entitled to a refund.

9.3 The Client may terminate cooperation if the Provider fails to fulfill its obligations, with entitlement to a pro-rata refund. Notice must be sent to info@paraguaysimply.com.

10. Confidentiality

10.1 Both parties agree to protect confidential information (e.g., personal data, guide content) and not use it without the other party’s consent.

10.2 The duty of confidentiality survives the termination of cooperation.

11. Data Protection

11.1 The data controller is Independent Life, s.r.o., Velebného 1963, Újezd nad Lesy, 190 16 Prague, Czech Republic, Company ID: 05360773, email: info@paraguaysimply.com.

11.2 The Provider processes the following Client data:

  • Name, surname, email, phone.
  • Copies of passport, birth certificate, and other documents required for residency.

11.3 Data is processed based on the performance of the contract for the purpose of facilitating residency in Paraguay. Data may be transferred to the Provider’s contractual partner in Paraguay in accordance with GDPR standard clauses.

11.4 Data is retained only for the necessary period (e.g., until the residency process is completed or legal obligations are fulfilled) and then deleted. It is stored in a secure repository with restricted access.

11.5 The Client has the right to access, correct, delete, restrict processing, data portability, and lodge a complaint with the supervisory authority (e.g., the Czech Office for Personal Data Protection at www.uoou.cz for EU clients).

For Clients in the USA (California Consumer Privacy Act – CCPA):

  • The Client has the right to know what personal information is collected, used, shared, or sold, and to request deletion or opt out of the sale of their personal information. The Provider does not sell personal information but may share it with third parties for operational purposes (e.g., assistance in Paraguay). For Clients in Canada (Personal Information Protection and Electronic Documents Act – PIPEDA):

  • The Client has the right to access and correct their personal information and withdraw consent for its use. The Provider ensures that data is used only for the purposes agreed upon.

For Clients in Australia (Privacy Act):

  • The Client has the right to access and correct their personal information. The Provider complies with the Australian Privacy Principles (APPs) for handling personal data.

12. Force Majeure

12.1 The Provider is not liable for failure to perform obligations due to reasons beyond its control, such as natural disasters, changes in laws, closure of authorities, or third-party technical failures.

12.2 The Client will be informed of force majeure events, and the Provider will take steps to minimize impacts.

13. Governing Law and Dispute Resolution

13.1 The contract is governed by the laws of the Czech Republic, particularly the Civil Code (Act No. 89/2012 Coll.) and the Consumer Protection Act (Act No. 634/1992 Coll.).

13.2 Disputes will preferably be resolved out of court. If no agreement is reached, the competent court is the Municipal Court in Prague. The Client has the right to contact the Czech Trade Inspection Authority (www.coi.cz) or the ODR platform (ec.europa.eu/odr).

13.3 Changes in Paraguayan laws are not the responsibility of the Provider, but the Client will be informed of them in a timely manner.

14. Final Provisions

14.1 These Terms become effective on February 1, 2025. The Provider reserves the right to update them at any time. The current version is available on the Website.

14.2 The Terms are drafted in English, which is the binding language for international clients. A Czech version is available for Czech and Slovak clients.

14.3 If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in force. The invalid provision will be replaced by a provision that most closely approximates its original purpose.

14.4 All communication between the Provider and the Client is primarily conducted electronically via email at info@paraguaysimply.com or through messaging apps (WhatsApp, Signal, Telegram) as agreed.

14.5 These Terms constitute the entire agreement between the Provider and the Client and supersede all prior agreements or arrangements relating to the subject matter of the services.
